About Us

Li Law Professional Corporation (Li & Partners Law Firm) was founded at the end of 2009. Our legal name is Li Law Professional Corporation. Following close associations with other lawyers, Li Law Professional Corporation applied for and began using the trade name Li and Partners. Benefiting from Mr. Li's professional background and his practice experience in both China and Canada, the firm has enjoyed stable and rapid growth since its inception. Li & Partners Law Firm handles a significant proportion of residential and commercial real estate transactions within the Greater Toronto Area's Chinese community. According to statistics from First Canadian Title ("FCT"), Canada's largest title insurance company, the transaction volume of Li & Partners Law Firm consistently ranked among the top 25% of FCT's volume across all of Canada from 2014 until prior to the pandemic (as noted in Firm Updates ). In addition to residential real estate, Li & Partners Law Firm is seeing strong growth in commercial real estate projects and corporate investment and financing. Mr. Li currently assists investors in Toronto with the acquisition of major commercial real estate projects, including gas stations, office buildings, golf courses, large warehouses, and plaza developments. Furthermore, Mr. Li provides legal services for the expansion of the famous franchised overseas brand “machi machi” in Canada.

Mr. Li, Shu Kuan founded "Li Law Professional Corporation" (currently, "Li & Partners Law Firm") at the end of 2009. Mr. Li earned his Bachelor of Laws (LL.B.) from the Law School of Renmin University of China and later obtained his Juris Doctor (J.D.) degree from the Faculty of Law at the University of Windsor in Canada. He previously worked at a Provincial High People's Court in China, DLA Piper LLP (a world-class law firm), and a boutique law firm specializing in private equity and corporate finance located on Toronto's Financial District.

Projects

In today's globalized economy, Mr. Li, Shu Kuan not only assists foreign clients with their commercial activities in China but also actively helps Chinese clients expand their business globally, including in Canada. He also advises local Toronto attorneys on their clients' commercial activities in China.

In addition to our real estate practice, the following are some of the major commercial projects Mr. Li has participated in:

  • Private Placement Financing for Microbix, a biochemical company in Ontario.
  • Private Placement Financing for Wavefront Energy, an oil company in Edmonton.
  • The second round of Venture Private Placement and Reverse Takeover of German company SonnenEnergie GmbH on the Toronto Stock Exchange (TSX) via a Capital Pool Company (CPC).
  • Drafting of relevant documents for the second round of Venture Capital Investment in Fujian H&C Computer Co., Ltd., representing the investors.
  • Merger and Acquisition (M&A) involving Homelife Inc. (USA) and Agdas, Financial Holding Co. (AFH): AFH's acquisition of Homelife through the establishment of a Toronto subsidiary (merger sub).
  • Provided legal opinions and drafted related documents for Cathy Inc.'s Investment/Equity Purchase project in a forestry company in Harbin, China.
  • Participation in the M&A case between two major publicly listed companies on the New York Stock Exchange (one party, Lear, is a world-leading automotive parts manufacturer).
  • Participation in the Acquisition Project of SinoTrust Group (China's second-largest credit institution) as the target company by the world-class credit institution Experian.
  • Acquisition of Saiweng Information Beijing Company by Media Monitor, a Hong Kong company controlled by Canadian investors.
  • Represented the large Dutch company Publicis in a series of acquisitions of three marketing services companies in Shanghai.
  • Represented Beijing Cellon Mobile Communication R&D Company in the acquisition of UTStarcom's Shanghai R&D Center (final stage).
  • Participation in the financing of China Henan Kailai Hotel on the Toronto venture market through a Capital Pool Company (CPC).
  • Conducted specialized research on the TSX listing policy for mining enterprises and compared listing requirements of major stock exchanges worldwide for the proposed listing project of China Wuhan Kaidi Group on the TSX.
  • Represented the Italian rail/steel machinery company Lucchini in establishing a Joint Venture with China Shanxi Coal Import and Export Company in Shanxi (a key project for the Chinese Ministry of Railways’ high-speed rail plan).
  • Participation in the investment project of Media Monitor (a Hong Kong company controlled by Canadian investors) in China, where the company established a Joint Venture with Saiweng Information Beijing Company.
  • Participation in the investment project of Beijing Cellon Wireless Communication Technology R&D Company in Canada, where the company established a Cooperation Laboratory (Company) with Rogers Company of Canada.
  • Participation in the investment project of a large Dutch advertising/marketing promotion company in China, acquiring a Shanghai company and establishing a Wholly Foreign-Owned Enterprise (WFOE)
  • Provided services for the relevant operations of the famous US semiconductor company Cypress in China, including, but not limited to, legal research and drafting of legal memoranda on Chinese corporate governance standards and Chinese laws regarding internal methods for preventing the leakage of company secrets (including legality and privacy laws).
  • Conducted legal research and drafted relevant documents concerning the lawsuit filed by Zhongkun Investment Group (Beijing) against the Los Angeles Times (LA Times).
